These Terms of Service constitute a binding agreement between you and Slow Dancing AB (referred to as "Piccnic," "we," "us," or "our"), the provider of the Piccnic website and related services (collectively referred to as the "Piccnic Service"). By using the Piccnic Service, you agree to comply with these Terms of Service. If you do not agree, please do not use the Piccnic Service. "You" refers to you as an individual or the entity you represent. We reserve the right to terminate your account or restrict access to it without notice if you violate these Terms of Service.

Account Registration

Your account must be created by a human. Accounts registered by automated methods are not allowed. You must be 18 years of age or older. Provide valid information requested during registration. Only one account per person or entity is permitted. You are responsible for maintaining your account's security. We are not liable for any loss or damage resulting from your failure to secure your account.

Use of the Service

You agree not to use the Piccnic Service for illegal or unauthorized purposes. You must not:

  • Distribute, upload, or share any content that contains viruses, malware, or any other harmful code or software.
  • Attempt to interfere with, bypass, or circumvent any security measures, technological protections, or restrictions imposed by the Piccnic Service.
  • Post or transmit content that is obscene, defamatory, libelous, threatening, harassing, or otherwise objectionable, including content that may be harmful or exploitative of minors.
  • Violate or infringe upon the intellectual property rights, privacy rights, or other legal rights of any third party.
  • Mislead others about your identity, impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity.
  • Engage in any fraudulent, deceptive, or misleading activities, including phishing, spamming, or creating fake accounts.

You are solely responsible for all content uploaded, shared, or made available through your event, including any content contributed by your guests. You must ensure that all such content complies with applicable laws and adheres to these Terms of Service. We reserve the right, at our sole discretion, to remove content or terminate accounts that violate these Terms or are deemed inappropriate.

You agree that you will only use the Service in compliance with the laws and regulations of your country of residence. It is your responsibility to ensure that your use of the Service does not violate any local, national, or international laws. By using the Service outside of your country, you acknowledge that you are responsible for complying with any applicable laws in the country where you are using the Service.

Fair Use Policy

All plans/events are subject to a fair usage policy, which includes a maximum of 10,000 media uploads and up to 5,000 participants per event. Additionally, to ensure optimal performance and fairness for all users, each uploaded media must not exceed 250 MB in size, and the total amount of uploaded data across all media must not exceed 50 GB. These limits help maintain a balanced and efficient experience for everyone using our platform.

Purchases and Payments

You must provide current, complete, and accurate purchase and account information for all transactions. Update your information promptly to ensure transactions can be completed and we can contact you as necessary. Sales tax will be added where required. Prices may change at any time, and all payments must be in US dollars, unless otherwise agreed. We reserve the right to refuse or limit any order at our discretion.

Refunds

We believe in only charging for services that are truly utilized. If you decide not to use our service for your event, we’re happy to offer a full refund, minus any non-refundable card processing fees. This refund is available if you cancel before your event’s start date or if no photos or videos are uploaded after the event begins.

Violations of These Terms

We reserve the right to investigate and take action against violations of these Terms to the fullest extent of the law. This may include cooperating with law enforcement authorities. We are not obligated to monitor your use of the Piccnic Service but may do so at our discretion. We reserve the right to remove any content or accounts that violate these Terms.

Termination

We may suspend or terminate your account and access to the Piccnic Service at any time, with or without cause, and with or without notice. Grounds for termination or suspension include, but are not limited to:

  • Violation of these Terms or any applicable laws or regulations.
  • Engaging in fraudulent or abusive behavior.
  • Accounts that remain inactive for an extended period, as determined by us

Upon termination of your account, you may lose access to all content and data associated with your account. We recommend that you back up any content or data before termination. Any obligations or liabilities that accrued before termination will survive and continue to be enforceable after termination. If applicable, any fees paid for future services beyond the termination date may be refunded in accordance with our refund policy.

You may terminate your account by ceasing to use the Piccnic Service. However, this will not relieve you of any outstanding obligations or liabilities incurred before the termination date. If you believe your account was terminated in error or wish to discuss the termination, please contact us as hello@piccnic.club.

Modifications and Interruptions

We reserve the right to modify, suspend, or discontinue any part of the Piccnic Service at any time and for any reason, with or without notice. This includes, but is not limited to, changes to features, functionality, and pricing.

We may update the Service periodically to improve functionality, fix bugs, or address security issues. We will strive to notify you of significant changes, but are not obligated to provide advance notice. We may need to perform scheduled or emergency maintenance, which may result in temporary interruptions or unavailability of the Service. We will make reasonable efforts to minimize any disruptions and perform maintenance during off-peak hours. If we decide to discontinue the Service or any part thereof, we will make reasonable efforts to provide advance notice, but we are not obligated to continue providing the Service or any specific features.

We are not liable for any damages or losses incurred as a result of modifications, interruptions, or discontinuation of the Service. This includes any loss of data or inability to access or use the Service.

Intellectual Property

You retain full ownership of all content, including text, images, videos, and other materials, that you upload, post, or otherwise make available on the Piccnic Service (“User Content”). By uploading or sharing User Content on our platform, you grant Slow Dancing AB a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the operation of the Piccnic Service, including for promotional purposes.

Content Responsibility: You are solely responsible for the User Content you upload and share on the Piccnic Service. This includes ensuring that your content does not violate any laws, infringe on the rights of third parties, or breach these Terms.

Prohibited Content: You agree not to post or upload any content that is illegal, offensive, defamatory, fraudulent, or otherwise violates our Acceptable Use Policy. we reserve the right to remove or modify any content that we believe violates these Terms or is otherwise inappropriate for our platform.

Content Monitoring: While we do not pre-screen User Content, we reserve the right to monitor, review, and remove any content that we determine, in our sole discretion, violates these Terms or is harmful to our users or the integrity of our Service.

User License: By submitting User Content, you grant other users of the Piccnic Service a limited license to access, view, and share your content through the platform’s functionality. You understand that once content is shared publicly, it may be difficult to remove from the internet, and we are not responsible for third-party usage of your content.

Content Removal: If you wish to remove your User Content from the Piccnic Service, you may do so at any time through your account settings. However, please note that copies of your content may remain in backup storage for a limited period of time, and we are not responsible for the removal of any content that has been shared by others outside of our platform.

Indemnification

You agree to indemnify, defend, and hold harmless Piccnic, along with its affiliates, officers, agents, employees, and partners, from and against any and all claims, liabilities, damages (whether actual or consequential), losses, and expenses (including reasonable attorneys’ fees) that arise from or are in any way connected to any third-party claims resulting from (a) your use or misuse of the Services, including any actions taken by others through your account, and (b) your breach of these Terms.

If such a claim, lawsuit, or action (“Claim”) arises, we will make reasonable efforts to notify you using the contact information associated with your account. However, our failure to provide such notice does not absolve or reduce your indemnification responsibilities under these Terms.

Limitation of Liability

Under no circumstances shall Piccnic, its suppliers, or licensors be held liable for any aspect of this agreement, whether based on contract, negligence, strict liability, or any other legal or equitable theory, for: (i) any special, incidental, or consequential damages; (ii) the cost of obtaining substitute products or services; (iii) any interruption of use, loss, or corruption of data; or (iv) any amounts that exceed the fees you have paid to Piccnic under this agreement in the twelve (12) months preceding the event that gave rise to the claim. Piccnic shall not be liable for any failure or delay resulting from circumstances beyond its reasonable control. These limitations of liability shall apply only to the extent permitted by applicable law.

General Representation and Warranty

You represent and warrant that: (i) your use of the Services will fully comply with the Piccnic Privacy Policy, this Agreement, and all applicable laws and regulations, including, without limitation, any local laws and regulations in your country, state, city, or other governmental jurisdiction related to online behavior and acceptable content, as well as any laws regarding the export of technical data from Sweden or the country in which you reside; and (ii) your use of the Services will not infringe upon or misappropriate the intellectual property rights of any third party.

Arbitration

These Terms and any disputes related to them or the Piccnic Service will be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles.

Jurisdiction: You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Piccnic Service must be brought exclusively in the courts located in Stockholm, Sweden. You consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.

Dispute Resolution: In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute informally. If the dispute cannot be resolved through informal negotiations, it shall be finally resolved by binding arbitration under the rules of the Swedish Arbitration Association. The arbitration will be conducted in Stockholm, Sweden, in the English language, and the decision of the arbitrator will be final and binding.

Applicable Law: The governing law will determine the interpretation, construction, and enforcement of these Terms, as well as any disputes arising from or related to the use of the Piccnic Service.

Disclaimer of Warranties

The Piccnic Service is provided "as is" without any warranties. We disclaim all warranties, including those of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the reliability or availability of the Service.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Piccnic regarding the Piccnic Service. If any part of these Terms is found invalid, the remaining provisions will continue to be valid and enforceable.

Changes to Terms

We may modify these Terms at any time. We will notify you of changes by posting them on our website. Your continued use of the Service after changes are posted constitutes your acceptance of the new Terms. If you do not agree to the new Terms, please stop using the Service.
